Terms and<\/span> Conditions<\/span><\/h1>\n<\/div>\n

These are the general terms and conditions (hereinafter: \u201cGeneral Terms and Conditions\u201d) of Sud Fresh, with its registered office at Rue du Kiell 3, 6790 Aubange, and registered with the Crossroads Bank for Enterprises (K.B.O.) under number BE0830634061. (Hereinafter: \u201cSud Fresh\u201d).<\/p>\n

TERMS AND CONDITIONS<\/strong><\/p>\n

This contract of carriage, whether domestic or international, is governed by the provisions of the CMR Convention and by these terms and conditions.<\/p>\n

Any terms and conditions of the sender or recipient that differ from these shall not apply, unless they have been expressly accepted in writing by the carrier.<\/p>\n

Signature of the bill of lading by the shipper, dock personnel, and the freight forwarder binds the sender, and signature by the stevedores, cargo handlers, or dock personnel at the destination binds the consignee.<\/p>\n

The shipper warrants to its contracting party, the consignee, that the latter is aware of and agrees to these terms and conditions; failing which, the shipper shall reimburse the carrier for all costs and indemnify the carrier against any and all claims.<\/p>\n

Loading \u2013 Unloading \u2013 Weight<\/strong><\/p>\n

Unless otherwise specified in writing, the parties expressly agree that loading and unloading shall be performed by the shipper or the consignee, respectively. To the extent that the driver is requested by the shipper or the consignee to perform these acts, this shall be done under the express supervision, control, and responsibility of the shipper or the consignee, respectively. The carrier bears no liability whatsoever for damage caused by and\/or during loading and unloading. <\/p>\n

Unless otherwise specified in writing, and to the extent that it is possible and\/or necessary, stowage shall be performed by the carrier based on the instructions of the consignor or shipper, which are provided in accordance with applicable legislation for the specific route. If the vehicle used by the carrier or the stowage method employed proves to be unsuitable because incorrect or incomplete information was provided by the shipper or consignor, or if the transport packaging proves to be insufficiently sturdy to allow for proper securing of the cargo, the costs and damages resulting therefrom shall be borne in full by the shipper for the transport. <\/p>\n

Delivery will take place at the threshold or on the dock of the buildings, unless another location has been agreed upon.<\/p>\n

The movement of the vehicle within the premises of the sender, shipper, or consignee shall be carried out entirely in accordance with the instructions of and under the responsibility of the latter. However, the carrier may object to these instructions if, in its opinion, local conditions endanger its vehicle or the cargo. <\/p>\n

If no authorized representative is present at the agreed-upon time of delivery, the carrier is instructed to unload the goods on site, after which the carrier will notify the sender\/client who arranged the transport of the delivery by any means, and the latter shall be deemed to have accepted this delivery without any reservations.<\/p>\n

Unless the shipper has expressly requested the carrier to verify the gross weight of the cargo within the meaning of Article 8(3) of the CMR, the shipper remains liable for any overloading\u2014including overloading per axle\u2014that is detected during transport. The shipper shall reimburse all costs arising therefrom, including damages resulting from the immobilization of the vehicle and any fines or other legal costs that may result therefrom. <\/p>\n

Instructions<\/strong><\/p>\n

The carrier\u2019s agents may not accept any instruction or declaration that binds the carrier beyond the prescribed limits with respect to:<\/p>\n

– the value of the goods to be used as a reference in the event of total or partial loss, or damage (Articles 23 and 25 of the CMR)<\/p>\n

– the delivery periods (Art. 19 of the CMR)<\/p>\n

– the reimbursement instructions (Art. 21 of the CMR)<\/p>\n

– a special value (Art. 24 CMR) or a special interest in delivery (Art. 26 CMR).<\/p>\n

– instructions or statements regarding dangerous goods (ADR) or goods subject to special regulations.<\/p>\n

Storage<\/strong><\/p>\n

In the event of storage by the carrier, the carrier is not liable in the event of theft involving forced entry and\/or violence, fire, explosion, lightning, aircraft impact, water damage, inherent defects in the goods and their packaging, hidden defects, and force majeure.<\/p>\n

Liability shall in any case be limited to a maximum amount of 8.33 Special Drawing Rights (SDR) per kilogram of lost or damaged goods, with an absolute maximum of 25,000 euros per event or series of events arising from a single cause of damage. The carrier is not liable for any indirect damages, including economic loss, consequential damages, or non-pecuniary damages. <\/p>\n

Immobilization times<\/strong><\/p>\n

The carrier is entitled to compensation for the downtime of the road vehicle.<\/p>\n

Unless otherwise agreed, the carrier is deemed to be responsible for one hour of loading and one hour of unloading. After this hour has elapsed, the carrier is entitled to reimbursement for all costs arising from this additional downtime. <\/p>\n

The carrier is also entitled to compensation for all costs arising from other periods of downtime that, taking into account the circumstances of the shipment, exceed the usual duration.<\/p>\n

Liability<\/strong><\/p>\n

The carrier is liable only for damage to the goods being transported, in accordance with the applicable provisions of the CMR Convention.<\/p>\n

If, as a result of the carriage, damage occurs to other goods that are in the custody of the shipper, loader, or consignee but are not the goods to be carried, the carrier is liable only for damage attributable to its fault or negligence. In any event, and except in cases of willful misconduct, the extent of the carrier\u2019s liability for damage to goods other than those to be transported is limited per claim to a maximum of 8.33 STR for each kilogram of gross weight of the cargo transported. <\/p>\n

Billing \u2013 Payments \u2013 Collateral\/Retention<\/strong><\/p>\n

The shipper is obligated to pay the freight charge, even if he instructs the carrier to collect the freight charge from the consignee.<\/p>\n

If a ride is canceled within 24 hours before the start of the ride, the full fare remains due to the carrier.<\/p>\n

The carrier may charge an additional fee for pallet exchange. The number of pallets to be exchanged takes into account a 5% loss. <\/p>\n

No set-off may be applied between the freight charge and any amounts claimed from the carrier.<\/p>\n

Unless otherwise agreed in writing, the carrier\u2019s invoices are due on the stated due date and are payable in full.<\/p>\n

In the event of failure to pay the invoice by its due date, and without the need for a notice of default, the outstanding amount shall automatically accrue interest at the rate provided for in the Act of August 2, 2002, on combating late payments in commercial transactions.<\/p>\n

If interest as referred to in the preceding paragraph is due, the carrier is entitled, by operation of law and without notice of default, to the payment of a lump-sum compensation of at least 10% of the amount not paid by the contracting party. The award of this reasonable compensation of 10% does not preclude the award of any legal costs or any other proven collection costs. <\/p>\n

In the event of nonpayment by the due date, all invoices that have not yet become due shall also become immediately and fully due and payable by operation of law and without notice of default.<\/p>\n

The carrier\u2019s various claims against the shipper\u2014even if they relate to different shipments and to goods that are no longer in the carrier\u2019s possession\u2014constitute a single and indivisible claim, against which the carrier may exercise all of its rights and privileges.<\/p>\n

In addition, the carrier may exercise a lien and\/or right of retention on all equipment and\/or goods that it ships, transports, stores, or otherwise has in its possession, to cover all amounts that its principal owes or will owe for any reason whatsoever.<\/p>\n

Notwithstanding any insolvency, any assignment of claims, any form of attachment, and notwithstanding any concurrence of claims, the carrier may apply set-off or novation to the obligations it owes to its contracting party<\/p>\n

has, and which the latter has against the carrier. This right is in no way affected by the notification or service of notice of insolvency, assignment of a claim, any form of attachment, or any other concurrent event. <\/p>\n

Final Provisions<\/strong><\/p>\n

In the event of any dispute between the parties, without prejudice to the application of Article 31(1) of the CMR, the courts of the carrier\u2019s registered office shall have jurisdiction. Belgian law shall apply. <\/p>\n

If one or more provisions of these general terms and conditions were to be inapplicable for any reason, the remaining provisions shall nevertheless remain in effect.[\/vc_column_text][\/vc_column][\/vc_row]\n","protected":false},"excerpt":{"rendered":"
